All services are customized based on each client’s goals, market, offer, budget, and operational needs. Specific deliverables, timelines, fees, and service details may vary by project and should be confirmed in a separate written agreement, proposal, or invoice.
3. Client Responsibilities
By working with Orion Dental Growth, you agree to:
Provide accurate business information, content, assets, and approvals in a timely manner
Maintain access to any necessary advertising accounts, business pages, CRM tools, or third-party platforms
Ensure that your business information, offers, services, and claims are accurate and legally compliant
Respond to leads and inquiries in a timely and professional manner
Follow all applicable platform policies, including Meta’s advertising policies, where relevant
Comply with all applicable laws, regulations, professional standards, and advertising rules related to your business or industry
We reserve the right to pause, delay, or terminate work if required information, access, approvals, or payments are not provided in a timely manner.
4. Payment Terms
Services are billed monthly unless otherwise stated in a written agreement, invoice, or proposal.
Payment is due on or before the billing date specified on your invoice. Late or missed payments may result in paused campaigns, delayed work, or suspension of services.
All fees are non-refundable once campaign work has begun, strategy work has been performed, advertising assets have been created, or deliverables have been produced.
If you cancel your service, any work completed, time spent, ad setup performed, or costs incurred up to the cancellation date remain payable.
Advertising platform spend, software costs, domain costs, CRM costs, and third-party tool fees are typically separate from Orion Dental Growth’s service fees unless otherwise stated in writing.
5. Advertising Spend
Clients are responsible for funding their own advertising spend unless otherwise agreed in writing.
Orion Dental Growth does not control billing systems, approval decisions, ad delivery, account restrictions, or payment processing managed by third-party advertising platforms such as Meta, Google, or other platforms.
Campaign performance may be affected if ad spend is paused, declined, reduced, or interrupted.
6. Results Disclaimer
Orion Dental Growth does not guarantee specific results, including but not limited to:
Lead volume
Cost per lead
Booked appointments
New patients
Revenue
Profit
Return on investment
Advertising approval
Campaign performance
While we aim to create and optimize campaigns that generate qualified opportunities, marketing performance depends on many factors outside of our control, including market conditions, competition, advertising budget, offer quality, lead response time, sales process, front desk follow-up, patient demand, platform changes, and client-side operations.
We are not responsible for lead conversion, appointment attendance, sales outcomes, patient acceptance, or revenue generated from leads.
7. Lead Quality and Follow-Up
Orion Dental Growth may help generate leads, organize inquiries, and create systems to support follow-up. However, clients are responsible for contacting, qualifying, scheduling, and converting leads.
Not every lead will become a booked appointment, patient, or customer. Lead quality and conversion can vary based on the offer, campaign, market, follow-up process, and responsiveness of the client’s team.
8. Intellectual Property
All creative materials, strategies, ad copy, campaign structures, automation systems, templates, documents, and other work product created by Orion Dental Growth remain our intellectual property unless transferred in writing.
Clients retain ownership of their own logos, brand assets, photos, videos, business information, website content, and existing materials provided to us.
You may use deliverables created by Orion Dental Growth only for your own business and may not resell, reproduce, distribute, or transfer them to another party without written consent.
9. Client Assets and Permissions
By providing logos, photos, videos, testimonials, website content, practice information, or other materials, you confirm that you have the right to use those materials and grant Orion Dental Growth permission to use them for the purpose of providing marketing services.
You are responsible for ensuring that any submitted materials comply with applicable laws, advertising regulations, privacy requirements, and professional guidelines.
10. Confidentiality
Both parties agree to keep sensitive business, marketing, financial, operational, and campaign information confidential.
This may include campaign data, performance reports, lead information, advertising strategies, client information, business systems, and proprietary methods shared during the engagement.
Confidential information may not be shared with third parties without written permission, except as required by law or as necessary to provide the agreed services.
11. Third-Party Tools and Integrations
Our services may involve third-party platforms, including but not limited to:

Facebook
Instagram
Google
Calendly
Zapier
CRM tools
Email platforms
Website platforms
Analytics tools
Automation tools
Orion Dental Growth is not responsible for the availability, performance, pricing, errors, outages, policy changes, security practices, data handling, account restrictions, or privacy practices of third-party platforms.
Clients are responsible for maintaining their own accounts, subscriptions, passwords, permissions, and billing relationships with third-party platforms unless otherwise agreed in writing.
12. Website Use
You agree not to use our website for any unlawful, harmful, or disruptive purpose. You may not attempt to interfere with the website’s security, functionality, availability, or content.
All website content, including text, graphics, branding, layouts, images, and other materials, is owned by or licensed to Orion Dental Growth and may not be copied, reproduced, or used without permission.
13. Limitation of Liability
To the fullest extent permitted by law, Orion Dental Growth and Bradley McGlothlin shall not be liable for:

Client-side communication failures
Errors caused by inaccurate information provided by the client
Our total liability for any claim shall not exceed the amount paid by the client for services rendered in the 30 days preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Orion Dental Growth and Bradley McGlothlin from any claims, damages, losses, liabilities, costs, or expenses arising from:
Your use of our services
Your violation of these Terms
Your violation of applicable laws or regulations
Your business practices, offers, or claims
Materials or information you provide
Your failure to follow platform policies
Your handling of leads, customers, or patients
15. Termination
Either party may terminate services with written notice, unless otherwise stated in a separate written agreement.
Upon termination:
All outstanding fees become immediately due
Active work may cease
Campaign management may stop
Access to systems or deliverables may be limited
No refunds will be issued for partially completed months of service or completed work
Orion Dental Growth reserves the right to terminate services if a client fails to pay, fails to provide necessary access or approvals, violates these Terms, engages in unlawful conduct, or requests work that violates applicable advertising policies or laws.
16. No Professional Advice
The information provided on our website or through our services is for general marketing and business purposes only. It should not be considered legal, financial, medical, tax, or professional advice.
Clients are responsible for consulting qualified professionals regarding legal, compliance, financial, healthcare, or professional requirements related to their business.
17. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Any disputes shall be handled exclusively in the courts of San Diego County, California.
18. Updates to These Terms
We may update or modify these Terms at any time. Changes will be reflected with a new “Last Updated” date and posted publicly on this page.
